Job Responsibilities

The Sr. Corporate Counsel will report directly to the Executive Vice President & Chief Legal Officer, and will be responsible for diverse tasks, including:

  • Drafting and reviewing board meeting materials and resolutions.

  • Offering legal support for international operations and identifying business and legal risks.
  • Engaging in recent legal matters and supporting compliance activities, including FCPA program administration.

Required Skills and Qualifications

To be considered for this role, candidates must possess:

  • A law degree (JD) and be licensed to practice in California, or equivalent In-House Counsel registration.
  • At least 7 years of relevant legal experience, particularly in advising public companies on SEC reporting and corporate governance.
  • A minimum of 2 years of in-house experience is strongly preferred.
  • Familiarity with stock incentive plans and comprehensive knowledge of corporate governance.
  • Strong analytical and problem-solving skills, with a working understanding of international, federal, and state regulations applicable to medical device companies.
  • Excellent verbal and written communication abilities, along with effective interpersonal skills.
  • Capability to operate both independently and in a team context, managing a diverse workload while prioritizing tasks efficiently.
  • High integrity, sound judgment, and effective communication styles to engage with various stakeholders.

Work Environment and Employment Details
